Economic Law

The firm assists companies in the deployment of their activities on the market and, in particular, in the negotiation and drafting of B-to-B and B-to-C contracts, including commercial intermediation contracts and international contracts. Our teams also assist companies in market practice matters.

Our litigation and non-litigation activities are focused on the detailed knowledge of our clients’ products and services in their most practical aspects, in order to offer them reliable but pragmatic solutions.

Commercial distribution

The team has first-rate expertise in commercial intermediation (distribution, exclusive sales concession, agency, franchising, commission, etc.), enabling it to offer its clients a “tailor-made” service for determining a development strategy and collaboration with partners established in Belgium or abroad.  This service includes assistance in the negotiation and drafting of contracts and general terms and conditions of sale or purchase, advice on the terms and conditions of the end of the collaboration and the management of disputes.

International contracts

The firm’s lawyers have extensive experience in transnational contracts and are familiar with certain foreign laws (French, Italian, Luxembourg and German in particular). They are therefore able to integrate other legal mechanisms into their reasoning and adapt the strategic assistance requested to the best advantage.  They are also familiar with international treaties and conventions, knowledge of which is essential for the conclusion and implementation of international contracts.

Market practices

The firm assists companies to frame their activities in compliance with the fair market practices defined by the Code of Economic Law, both with regard to consumers and in their relations with their competitors.  In the area of consumer protection, this assistance covers advertising, product promotion policies and price regulation. DALDEWOLF has particular expertise in the organisation of promotional games.

Non-market

The firm regularly assists non-profit entities (non-profit associations, international non-profit associations, foundations and non-governmental organisations) in all phases of their existence: choice of the most appropriate entity and drafting of the articles of association according to the objectives pursued, challenges encountered in the exercise of their activities (in collaboration with lawyers specialised in other practices), subsidies and project financing, as well as restructuring, transformation or liquidation procedures.

This assistance is intended to be as pragmatic as possible and covers sectors as varied as industry, commerce, research, ecology, culture and charity.

Restructuring and insolvency proceedings

DALDEWOLF has a long history of expertise in the management of companies in difficulty. The particularity of our services lies in the multidisciplinary nature of our team. This team is composed of lawyers with long experience in complex situations, supported by experts in financing, mergers and acquisitions and employment law.

The firm advises the different types of stakeholders in this segment: managers, shareholders, acquirers, debtors or creditors.

Its expertise in both transactional and judicial matters enables it to intervene in all situations encountered by companies in difficulty: collective proceedings (bankruptcy, judicial reorganisation, liquidation), company transfers, company restructuring and liability litigation linked to bankruptcy proceedings.
